These Terms of Use govern EcoShade at ecoshade.org, including the free farmer app, B2B portal, marketplace, and related services. By creating an account or using the platform, you agree to them.

1. Acceptance of Terms
By accessing or using EcoShade at https://ecoshade.org, including the farmer app, B2B portal, auditor and agronomist tools, government dashboard, marketplace, and public site, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the platform.
We may update these terms with reasonable notice by email, in-app notice, or by posting an updated version on this page. Continued use after the effective date constitutes acceptance of the updated terms. Material changes may require you to re-accept terms before continuing to use certain features.
2. Service Description
EcoShade is an AI-powered agricultural decision-support platform providing crop health analysis, plant disease risk detection (AI-assisted), fertilizer and nutrient recommendations, satellite-based farm monitoring, carbon farming educational and analytical tools, and agricultural insights based on user input and external datasets.
EcoShade is a decision-support and informational platform only. It does not provide professional, certified agronomic, veterinary, legal, financial, or insurance advice. No doctor-patient, attorney-client, or advisor-client relationship is created by your use of the platform.
3. Eligibility
- You must be at least 18 years old to register or use EcoShade.
- Organizations may register accounts; the person accepting these terms must have authority to bind the organization.
- Minors are not intended users of the service. We do not knowingly collect data from anyone under 18.
- You must provide accurate registration information and keep it up to date.
4. Account Registration and Roles
Users may provide name, email address, phone number, farm location, farm coordinates, and agricultural photos (for example crops and soil conditions). You are solely responsible for ensuring the accuracy, legality, and completeness of all submitted data.
- Keep your login credentials secure and do not share them with unauthorised persons.
- Do not create more than one farmer account for the same individual without our permission.
- Roles such as carbon buyer, insurer, agro-dealer, auditor, agronomist, government, or admin are assigned by EcoShade or your organisation administrator and may be revoked at any time.
5. AI Outputs and Important Disclaimer
EcoShade uses artificial intelligence systems (including third-party AI APIs such as OpenAI, Anthropic, and Google Gemini) and scientific models. You acknowledge and agree that:

- AI outputs are probabilistic, may be incomplete or inaccurate, and can change without notice as models are updated.
- Recommendations are not guarantees of crop health, yield, treatment success, or regulatory compliance.
- All outputs must be independently validated by a qualified professional before real-world agricultural, chemical, or financial application.
- EcoShade does not replace certified agronomists, extension services, veterinarians, or other licensed advisors.
- EcoShade expressly disclaims liability for agricultural losses, environmental harm, regulatory penalties, or any other damage resulting from reliance on AI outputs.
6. User Content and Photos
You retain ownership of content you upload. By uploading content, you grant EcoShade a limited, non-exclusive, royalty-free licence to process, store, transmit, and analyse that content solely to provide and improve platform functionality, including real-time crop and disease analysis.
- We do not sell your personal data, farm data, or uploaded images.
- We do not use your photos to train third-party AI models without your explicit consent, except as required to process your specific request through contracted AI providers under their applicable data terms.
- Images and related records are retained only as long as needed for service delivery, audit, security, or legal compliance, after which they are deleted or anonymised in accordance with our Privacy Policy.
- You may request deletion of your account and associated data as described in our Privacy Policy.
- You represent that you have all rights necessary to upload content and that it does not infringe third-party rights.
7. Data Accuracy and User Responsibility
Farm location, crop type, growth stage, treatment history, and other inputs materially affect system outputs. Incorrect, incomplete, outdated, or misleading data may produce incorrect recommendations, forecasts, or reports.
You are solely responsible for verifying inputs, interpreting outputs, and all field, business, and regulatory decisions. EcoShade is not responsible for outcomes based on inaccurate user inputs or misuse of the platform.
8. Free Farmer Access
Farmers may use core EcoShade features—including crop analysis, farm management, treatment recommendations, satellite data, weather, epidemic forecasting, and carbon tracking—free of charge. We do not currently plan to paywall these core farmer features. We may introduce optional paid features or partner services with separate terms.
9. Marketplace
- Products are listed and sold by independent partner stores, not by EcoShade.
- Delivery, product quality, warranties, and fulfillment are the partner store's responsibility.
- EcoShade facilitates connections between farmers and stores but is not a party to the sale unless explicitly stated.
- EcoShade is not liable for marketplace disputes, defective products, or failed deliveries.
10. Carbon Credits and MRV
EcoShade helps farmers measure and document carbon activity and connect with accreditation partners and buyers. EcoShade is not an accreditation body, verifier, or registry, and does not independently issue verified carbon credits. MRV tooling supports measurement and reporting only. EcoShade makes no warranty that any project will be accredited, verified, or sold. Fees may apply when EcoShade successfully facilitates a transaction.
11. B2B and Partner Services
- Carbon buyers, insurers, and agro-dealers access dedicated B2B areas under separate commercial terms where applicable.
- API access, where provided, must not be shared, resold, or used to re-identify individual farmers without authorisation.
- We may rate-limit, suspend, or terminate access for abuse, security risk, or breach of contract.
12. Prohibited Use
- Uploading illegal, harmful, misleading, or non-agricultural content.
- Bypassing security controls, Row-Level Security, or accessing another user's data without authorisation.
- Reverse engineering, scraping, or disrupting the platform, scan pipeline, or APIs.
- Using the service for surveillance, targeting individuals, or non-agricultural purposes.
- Misrepresenting farm ownership, identity, or data.
- Sharing credentials or API keys with unauthorised persons.
13. Third-Party Services
EcoShade relies on third-party providers, including AI services (OpenAI, Anthropic, Google Gemini), satellite data providers (Copernicus Sentinel Hub, Landsat), weather and agricultural data sources (OpenWeatherMap, Open Data Hub), cloud infrastructure (Supabase, Vercel), payments (Stripe), and analytics (PostHog, when opted in).
We do not control and are not responsible for the availability, accuracy, security, or conduct of third-party systems. Your use of third-party services may be subject to their separate terms and privacy policies.
14. Service Changes and Availability
We may modify, suspend, or discontinue any feature at any time, including AI models, satellite integrations, carbon modules, marketplace services, and beta features, with or without notice where permitted by law. We will attempt reasonable notice for material changes where practicable.
The platform is provided on a best-effort basis. We do not guarantee uninterrupted, error-free, or secure operation.
15. Data Ownership
You own the data you upload or generate on EcoShade, including crop photos, farm records, treatment logs, and carbon documents, subject to the limited licence granted in Section 6. EcoShade may use anonymised, aggregated data to improve the platform and produce regional insights. We do not share identifiable farmer data with third parties for marketing without your consent.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECOSHADE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.
EcoShade does not warrant that AI outputs, satellite indices, weather forecasts, epidemic models, carbon estimates, or any other information will be accurate, complete, current, or suitable for your specific farm conditions.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECOSHADE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST CROPS, LOST YIELD, BUSINESS INTERRUPTION, DATA LOSS, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Where liability cannot be fully excluded, EcoShade's total aggregate liability to you for all claims arising out of or relating to the platform shall not exceed the greater of (a) the amount you paid EcoShade in the twelve months before the claim, or (b) USD $100. For users on free access, liability is limited to USD $100 or zero where permitted by law.
Nothing in these terms excludes liability that cannot be excluded under mandatory consumer protection law in your jurisdiction.
- Crop loss, yield reduction, or treatment failure.
- Financial loss or business decisions based on platform outputs.
- Incorrect AI, satellite, weather, or third-party data.
- Marketplace, carbon, or partner service disputes.
- Service interruptions, security incidents beyond our reasonable control, or force majeure events.
- Regulatory penalties arising from your application of recommendations without independent professional review.
18. Indemnification
You agree to indemnify, defend, and hold harmless EcoShade and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your content or data; (c) your violation of these terms or applicable law; (d) your field, chemical, or business decisions based on platform outputs; or (e) any dispute with a marketplace partner or third party related to your use of EcoShade.
19. Regulatory Compliance
You are solely responsible for compliance with all applicable laws governing pesticides, fertilizers, plant protection products, organic certification, labour, land use, environmental protection, food safety, carbon markets, and export rules in your jurisdiction. EcoShade safety rules are automated filters, not legal advice, and do not guarantee regulatory compliance in every country or region.
20. Beta and Experimental Features
Some features may be labelled beta, preview, or experimental. These may be incomplete, change without notice, or be withdrawn at any time. Beta features are provided without warranty and with heightened risk. Do not rely on beta features for critical operational decisions.
21. Termination
- We may suspend or terminate your access immediately if you violate these terms, pose a security risk, engage in fraud or abuse, or where required by law.
- You may delete your account at any time through Settings or by contacting support.
- Sections that by their nature should survive termination (including liability limits, indemnification, disclaimers, and governing law) will survive.
22. Governing Law and Disputes
These Terms are governed by the laws of Georgia, without regard to conflict-of-law principles. For users in the European Union or other jurisdictions, mandatory consumer protection laws in your country of residence apply where they cannot be waived.
Contact support@ecoshade.org first to resolve a dispute informally. If unresolved after 30 days, either party may bring the matter to the competent courts of Tbilisi, Georgia, unless mandatory law requires a different forum.
23. General Provisions
- Entire agreement: These Terms, the Privacy Policy, and the AI Disclaimer constitute the entire agreement regarding the platform.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale.
- Language: The English version controls if translated versions conflict.
